These Terms of Use ("Terms") govern your access to and use of the Flow Vertex website, dashboard, WhatsApp automation platform, APIs, integrations, communication tools, chatbot features, campaign management tools, and related services (collectively, the "Services"). By creating an account, accessing, or using Flow Vertex, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services. 1. About Flow Vertex Flow Vertex provides technology and automation tools designed to help businesses manage customer communication and automate workflows, including services that may involve: WhatsApp business messaging Automated replies and chatbots Campaign management Contact management Message templates Workflow automation APIs and webhooks Third-party integrations Customer communication tools Other related automation features The features available to you may depend on your selected plan, account status, third-party approvals, and technical availability. 2. Eligibility and Account Registration To use certain Flow Vertex Services, you may be required to create an account. You agree to: Provide accurate and complete information Keep your account information up to date Maintain the confidentiality of your login credentials Not share your account credentials with unauthorized persons Notify us if you suspect unauthorized access to your account You are responsible for activities performed through your account unless applicable law provides otherwise. Flow Vertex may refuse registration or restrict access where reasonably necessary to protect the platform, comply with legal obligations, or prevent misuse. 3. Your Responsibilities When using Flow Vertex, you are responsible for: Your account and its activities Your business information The contacts and data you upload or process The messages and campaigns you send The content created through your account Obtaining any required consent or opt-in from message recipients Complying with applicable laws and regulations Complying with applicable Meta, WhatsApp, and third-party policies You must ensure that your use of the Services is lawful and does not violate the rights of others. 4. WhatsApp and Meta Compliance Some Flow Vertex features may interact with the WhatsApp Business Platform or other Meta services. Your use of such features is subject to applicable policies, requirements, and technical limitations established by Meta and WhatsApp. You are responsible for complying with: Applicable WhatsApp Business policies Applicable Meta platform policies Messaging consent and opt-in requirements Template and messaging requirements Anti-spam rules Applicable advertising and consumer protection laws You must not use Flow Vertex to send unsolicited, deceptive, fraudulent, or unauthorized communications. Important Notice Flow Vertex is an independent technology platform and is not responsible for decisions made by Meta or WhatsApp. Meta or WhatsApp may independently: Approve or reject message templates Restrict messaging capabilities Limit account functionality Suspend or disable business accounts Modify their policies or technical systems Flow Vertex does not guarantee that a WhatsApp Business Account, phone number, message template, campaign, or message will be approved, delivered, or remain available. 5. Prohibited Use You must not use Flow Vertex for unlawful, harmful, fraudulent, abusive, or unauthorized activities. Prohibited activities include, but are not limited to: Sending spam or unsolicited messages Phishing or impersonation Fraud, scams, or deceptive practices Sending misleading communications Unauthorized collection or misuse of personal data Distribution of malicious software or harmful content Attempting to gain unauthorized access to systems or accounts Circumventing platform restrictions or security measures Infringing intellectual property rights Promoting or facilitating illegal activities Using the platform in violation of applicable Meta or WhatsApp policies Reselling or providing unauthorized access to Flow Vertex Services without our permission We may investigate suspected violations and take appropriate action, including restricting, suspending, or terminating your account. 6. Customer Data and Messaging Consent You are responsible for ensuring that you have the appropriate legal basis to collect, upload, store, process, and use the information of your customers, contacts, leads, or other individuals. Before sending marketing, promotional, automated, or other regulated communications, you are responsible for obtaining any consent, opt-in, authorization, or permission required by applicable law or platform policies. Flow Vertex provides technology that enables communication and automation. You remain responsible for determining whether your intended use complies with applicable legal and regulatory requirements. 7. Subscription, Fees and Billing Certain Flow Vertex Services may require payment. By purchasing a paid plan, you agree to pay the applicable fees associated with your selected subscription or service. Depending on the applicable plan: Fees may be charged in advance Subscription periods may be monthly, annual, or otherwise specified Usage-based charges may apply to certain Services Third-party charges may apply separately Taxes may apply where required You are responsible for providing accurate billing information and ensuring that your payment method remains valid. Flow Vertex may change pricing, plans, features, or billing structures in the future. Where reasonably required, we will provide notice of material pricing changes before they apply to an existing subscription. 8. Renewals and Cancellation If your subscription includes automatic renewal, it may renew at the end of the applicable billing period unless cancelled in accordance with the cancellation options provided through the Service or applicable agreement. You are responsible for cancelling your subscription before the next billing date if you do not wish to continue the Service. Cancellation may result in the loss of access to certain features at the end of your paid subscription period. 9. Refunds Unless otherwise required by applicable law or expressly stated in a separate written agreement or specific offer, payments for Flow Vertex Services may be non-refundable once the applicable service, subscription, setup, digital access, or usage has been provided or activated. Refund eligibility, if any, may depend on: The type of service purchased The applicable subscription plan Whether the Service has been activated or used Applicable consumer protection laws Any specific refund policy published by Flow Vertex Nothing in these Terms is intended to limit any refund rights that cannot legally be excluded. 10. Third-Party Services and Integrations Flow Vertex may allow integrations with third-party platforms and services, including messaging providers, payment providers, e-commerce platforms, automation platforms, CRMs, analytics services, and other business tools. When you connect a third-party service: You may be subject to that provider's separate terms and privacy policies The availability of the integration may depend on the third party The third party may modify, restrict, suspend, or discontinue its services Data may be exchanged according to the permissions and functionality you authorize Flow Vertex is not responsible for outages, policy changes, account actions, or failures caused by independent third-party providers. 11. Service Availability We aim to provide a reliable and continuously improving platform. However, we do not guarantee that the Services will always be available, uninterrupted, error-free, or completely secure. The Services may be temporarily unavailable due to: Scheduled maintenance Emergency maintenance Infrastructure issues Internet or telecommunications failures Third-party service interruptions Security incidents Technical problems beyond our reasonable control We may modify, update, suspend, or discontinue parts of the Services when reasonably necessary. 12. No Guarantee of Message Delivery or Business Results Flow Vertex does not guarantee: Delivery of every message Approval of WhatsApp templates Approval or verification of business accounts Continuous availability of third-party services Specific campaign performance Sales, leads, conversions, or business results Message delivery and communication functionality may depend on factors outside Flow Vertex's control, including recipient availability, network conditions, WhatsApp or Meta policies, account quality, user settings, and third-party systems. You use the Services at your own business and commercial discretion. 13. Intellectual Property The Flow Vertex platform, including its software, interface, branding, designs, documentation, technology, logos, content, and other proprietary materials, is owned by or licensed to Flow Vertex and is protected by applicable intellectual property laws. Subject to your compliance with these Terms, Flow Vertex grants you a limited, non-exclusive, non-transferable, and revocable right to use the Services for their intended business purposes. You must not: Copy or reproduce the platform except as permitted by law Reverse engineer or attempt to extract source code Modify or create unauthorized derivative works Resell or sublicense the Services without authorization Remove proprietary notices Use Flow Vertex intellectual property without permission You retain ownership of the content and data you lawfully provide to the platform. 14. Privacy and Data Your use of Flow Vertex is also subject to our Privacy Policy. You are responsible for ensuring that your collection and use of personal information through the platform complies with applicable privacy and data protection laws. Where Flow Vertex processes data on your behalf to provide the Services, you remain responsible for ensuring that you have the necessary authority and legal basis to provide and process that data. 15. Account Suspension and Termination Flow Vertex may suspend, restrict, or terminate access to the Services if we reasonably believe that: You have violated these Terms You have violated applicable laws Your account is involved in spam, fraud, phishing, or abuse Your activity creates a security risk You have violated applicable Meta or WhatsApp policies Payment obligations remain unpaid Your use may harm Flow Vertex, other users, or third parties Where appropriate, we may provide notice. However, we may suspend access immediately when necessary to protect security, prevent abuse, comply with law, or prevent further harm. Upon termination, your right to use the affected Services will end. 16. Limitation of Liability To the maximum extent permitted by applicable law, Flow Vertex and its owners, employees, partners, and service providers will not be liable for indirect, incidental, special, consequential, or punitive damages arising from or related to your use of, or inability to use, the Services. This may include, where permitted by law: Loss of profits Loss of revenue Loss of business opportunities Loss of data Business interruption Losses caused by third-party services WhatsApp or Meta account restrictions Message delivery failures or delays To the extent permitted by applicable law, Flow Vertex's total liability arising from a claim related to the Services will not exceed the amount you paid to Flow Vertex for the relevant paid Service during the period preceding the event giving rise to the claim. Nothing in these Terms excludes liability that cannot legally be excluded under applicable law. 17. Disclaimer of Warranties The Services are provided on an "as available" and "as is" basis to the maximum extent permitted by law. Flow Vertex does not guarantee that the Services will: Meet every business requirement Operate without interruption Be completely error-free Always be compatible with every third-party service Produce specific commercial results We may improve, modify, or update the platform over time. 18. Indemnification To the extent permitted by applicable law, you agree to be responsible for claims, losses, liabilities, damages, and expenses arising from: Your unlawful use of the Services Your violation of these Terms Messages or content sent through your account Your failure to obtain required consent Your violation of applicable Meta or WhatsApp policies Your infringement of another person's rights This section applies to the extent permitted under applicable law. 19. Changes to the Services or Terms Flow Vertex may update these Terms or modify the Services from time to time. Changes may be made due to: New features Changes in business operations Legal or regulatory requirements Security requirements Changes made by third-party platforms Improvements to the Services When we update these Terms, we may revise the "Last Updated" date. Where required by law or appropriate under the circumstances, we may provide additional notice of significant changes. Your continued use of the Services after updated Terms become effective constitutes acceptance of the updated Terms, where permitted by applicable law. 20. Governing Law and Jurisdiction These Terms shall be governed by and interpreted in accordance with the applicable laws of India, unless mandatory laws applicable to you require otherwise. Any disputes arising from or relating to these Terms or the Services shall be subject to the jurisdiction of the competent courts, subject to applicable legal requirements. 21. Severability If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will continue in effect to the extent permitted by law. 22.
